Welcome to NeoEditFX. These Terms of Service (“Terms”) govern your access to and use of the NeoEditFX website at neoeditfx.com (“Site”) and any digital products purchased through it (“Products”). By using the Site or purchasing any Products, you agree to be bound by these Terms.
NeoEditFX is operated by Victor Grubbe (“we,” “us,” “our”). If you do not agree to these Terms, do not use the Site or purchase any Products.
1. Products & License
All Products sold through NeoEditFX are digital downloads, plugins, presets, and effects designed for use with Blackmagic Design's DaVinci Resolve. When you purchase a Product, you receive a limited, non-exclusive, non-transferable license to use it. You do not acquire ownership of the underlying intellectual property.
Full license terms are set out in our License Agreement (EULA), which forms part of these Terms.
2. Checkout & Payment
All purchases are processed through Fourthwall, our third-party commerce platform. Fourthwall acts as the merchant of record for all transactions, meaning Fourthwall, not NeoEditFX, is the seller of record for payment purposes. Fourthwall handles payment processing, sales tax collection, and remittance.
By completing a purchase, you also agree to Fourthwall's Terms of Service and Privacy Policy. NeoEditFX does not store your payment information.
3. Refunds
Because our Products are delivered digitally, all sales are final once the download link has been delivered. For full details, including exceptions and your rights under EU consumer law, please see our Refund Policy.
4. Intellectual Property
All content on the Site, including but not limited to plugins, presets, effects, text, graphics, logos, video, and code, is the property of NeoEditFX / Victor Grubbe or its licensors and is protected by copyright and intellectual property laws.
You may not reproduce, distribute, modify, reverse-engineer, decompile, or create derivative works from any Product or Site content without our prior written consent.
NeoEditFX is not affiliated with, endorsed by, or sponsored by Blackmagic Design. DaVinci Resolve is a trademark of Blackmagic Design Pty Ltd.
5. Acceptable Use
You agree not to:
- Redistribute, resell, or share any Product or download link.
- Share your account credentials with others.
- Use any Product to create a competing product or template for distribution.
- Circumvent any license management or download protections.
- Use the Site or Products for any unlawful purpose.
Violation of these terms may result in termination of your license and account without refund.
6. Account Terms
If you create an account on the Site or through Fourthwall, you are responsible for maintaining the security of your account and for all activity under it. You must provide accurate information and be at least 18 years old (or the age of majority in your jurisdiction) to make a purchase.
We reserve the right to suspend or terminate accounts that violate these Terms. If your account is terminated for a violation, previously purchased Products may be revoked.
7. Disclaimer of Warranties
Products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that any Product will be compatible with every system configuration, every version of DaVinci Resolve, or every operating system. Check product descriptions for compatibility details before purchasing.
8. Limitation of Liability
To the maximum extent permitted by law, NeoEditFX / Victor Grubbe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, lost profits, or business interruption, arising from your use of or inability to use the Site or any Product.
Our total liability for any claim related to a Product shall not exceed the amount you paid for that Product.
9. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict-of-law principles. Nothing in these Terms shall affect your statutory rights as a consumer under the laws of your country of residence.
For EU consumers: You may also use the EU Online Dispute Resolution platform.
11. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
