License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and Victor Grubbe / NeoEditFX (“Licensor”) for any digital products, including plugins, presets, effects, and templates (“Products”), purchased or downloaded from neoeditfx.com.
By downloading, installing, or using any Product, you agree to be bound by the terms of this EULA. If you do not agree, do not download or use the Product.
1. License Grant
Upon purchase, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the Product, subject to the terms below.
- Per-user license. Each purchase grants a license to one (1) individual person. You may install and use the Product on up to three (3) machines that you own or control.
- Commercial use of output is allowed. You may use the Products in commercial projects, client work, YouTube videos, films, ads, and any other video content you produce. There is no additional fee for commercial use of your output.
- No redistribution of Products. You may not redistribute, resell, sublicense, rent, lease, or give away the Product files themselves, whether modified or unmodified.
- License is conditional on payment. A license only exists for Products lawfully obtained and fully paid for. If your payment is refunded, reversed, or charged back, the corresponding license ends immediately and you must delete all copies.
2. Restrictions
You may not:
- Share, redistribute, or make Products available to others (including via shared drives, torrents, or file-sharing services).
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any Product (see Section 3).
- Modify a Product and redistribute or sell the modified version.
- Include Product files in any template, preset pack, or similar product intended for distribution or sale.
- Share your download links or account credentials with third parties.
- Use Products to build a competing product or service.
- Use any Product, in whole or in part, to train, fine-tune, or otherwise develop any machine-learning or AI model or system.
- Remove or alter any copyright notices or branding within the Product files.
3. Compiled Code & No Reverse Engineering
Our plugin files (“fuses”) are compiled. When you buy a Product, you are buying the finished, compiled tool, not the recipe behind it. The source code, algorithms, and build tooling behind the Products are trade secrets of NeoEditFX. They are deliberately not included in your purchase, they remain confidential, and we actively protect them. You may not decompile our fuses or attempt to turn them back into source code in any way. Read this section carefully, because we enforce it.
You may not, and may not help or allow anyone else to:
- Decompile, disassemble, decode, translate, or unpack any Product, in whole or in part.
- Attempt to derive, reconstruct, or discover the source code, underlying ideas, algorithms, or internal file formats of any Product, whether by hand, with software tools, or with AI systems.
- Circumvent, remove, or disable any technical measure that protects a Product, including its compiled form.
- Publish, share, sell, or make any use of anything obtained through the activities above.
The only exception is where the law of your country gives you a narrow right that a contract cannot take away (for example, limited interoperability rights under EU software law). If you believe that applies to you, email us at contact@neoeditfx.com first. Where the law permits decompilation only when interoperability information is not readily available, we make that information available on request, which normally removes any legal basis for decompiling anything. Anything beyond the narrow scope of those mandatory legal rights remains a breach of this EULA.
Consequences. We treat any attempt to decompile or reverse engineer our Products as theft of our intellectual property, and we will take legal action. If you breach this section:
- Your license for the affected Product terminates automatically and immediately, we may terminate every other NeoEditFX license you hold, and you must destroy all copies of the affected Products.
- We will pursue every remedy available to us, including lawsuits for copyright infringement and trade secret misappropriation, court orders to stop you and anyone you shared material with, and claims for damages, lost profits, and legal costs where awarded. You acknowledge that a breach of this section would cause us irreparable harm for which damages alone are not an adequate remedy, and that we are entitled to seek injunctive relief in addition to damages.
- Circumventing technical protection measures is also independently unlawful under laws such as the U.S. Digital Millennium Copyright Act and the EU Copyright Directive, and can carry civil and, in some countries, criminal penalties. Where conduct is criminal, we will report it to the relevant authorities.
This section is not a formality. Please do not test it.
4. Full Stack Bundle, Lifetime Access
The Full Stack Bundle includes access to every current NeoEditFX pack and every pack released in the future within the NeoEditFX product line for DaVinci Resolve. Specific terms:
- “Lifetime” means for as long as NeoEditFX continues to operate and offer the product line. It does not mean an unlimited guarantee in perpetuity.
- Future products included are limited to DaVinci Resolve plugins, presets, and effects released under the NeoEditFX brand. Products for platforms other than DaVinci Resolve, and collaborations with third parties that are identified as separate releases, are not part of the Bundle.
- The Bundle license is personal and non-transferable. It cannot be resold or given to another person.
- Products already received through the Bundle remain licensed to you perpetually, even if the Bundle is discontinued.
5. Ownership & Intellectual Property
All Products remain the intellectual property of Victor Grubbe / NeoEditFX. This EULA grants a license to use the Products, it does not transfer ownership of any intellectual property rights.
NeoEditFX is not affiliated with, endorsed by, or sponsored by Blackmagic Design. DaVinci Resolve is a trademark of Blackmagic Design Pty Ltd.
6. Updates & Support
We may release updates to Products at our discretion. Updates are provided free of charge to existing license holders of that Product. We provide reasonable support but do not guarantee response times or resolution of all issues.
7. Warranty Disclaimer & Limitation of Liability
To the maximum extent permitted by applicable law, Products are provided “as is” without warranty of any kind. We do not warrant that Products will be error-free, compatible with every system, or suitable for any particular purpose.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with this EULA or any Product is limited to the amount you paid for the Product giving rise to the claim, and we are not liable for indirect or consequential losses such as lost profits, lost projects, or lost data.
Nothing in this section excludes or limits liability for gross negligence or intentional misconduct, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer, this section does not limit your statutory rights, including any conformity rights for digital content under the laws of your country of residence.
8. Termination
This license is effective until terminated. We may terminate your license if you breach any term of this EULA, and licenses terminate automatically as described in Sections 1 and 3. Upon termination, you must cease all use of the Product and delete all copies from your machines. Sections 2, 3, 5, 7, 9, and 10 survive any termination of this EULA.
9. Governing Law
This EULA is governed by the laws of Denmark. If you are a business user, the courts of Denmark have exclusive jurisdiction over any dispute arising out of or in connection with this EULA. If you are a consumer, nothing in this EULA overrides your statutory consumer rights, or the mandatory venue rules, of your country of residence.
10. General
- Severability. If any provision of this EULA is found unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions stay in full force.
- Entire agreement. This EULA, together with your order confirmation and our Terms of Service and Refund Policy, is the entire agreement between you and us regarding the Products.
- Assignment. We may assign this EULA in connection with a sale, merger, or transfer of the NeoEditFX business, and your license survives such a transfer. You may not assign or transfer this EULA or any license.
- Changes to this EULA. We may update this EULA from time to time. The version in force when you purchase a Product governs that Product; updates do not retroactively reduce the rights in Products you have already bought.
- No waiver. If we do not enforce a provision of this EULA, that is not a waiver of our right to enforce it later.
